Access to credit in Brazil has always been directly linked to the efficiency of the guarantee system, since predictability in credit recovery directly influences the granting of financing and the setting of interest rates.

In an environment where default is a constant risk, the existence of effective mechanisms to ensure compliance with contractual obligations becomes essential for the stability of the financial market and the legal security of credit operations.

However, Brazil has historically faced significant obstacles in this area.

The slow execution of guarantees, the bureaucracy in the establishment and registration of fiduciary assignment, and regulatory instability create an environment of uncertainty that affects both creditors and borrowers.

Furthermore, these factors directly impact the granting of financing, as they increase the costs of financial operations, restrict the supply of credit, and hinder the inclusion of small and medium-sized entrepreneurs in the formal banking system.

Given this scenario, the need for reform that would simplify the use of guarantees, reduce bureaucracy in the formalization of contracts, and provide greater legal certainty for creditors and debtors became evident.

The Legal Framework for Guarantees (Law No. 14.711/2023) emerges as a response to this demand, bringing innovations that seek to make the system more efficient and accessible.

The new legislation proposes to reduce bureaucracy in the use of assets as collateral, allowing the reuse of the same asset in multiple transactions, simplified extrajudicial enforcement, and the introduction of the collateral agent, an intermediary responsible for managing the collateral offered in complex financial contracts.

The effective implementation of these measures has the potential to stimulate the supply of credit, reduce interest rates, and boost economic activity, creating a more favorable environment for businesses and consumers.

However, the application of the new regulatory framework requires professionals trained to interpret and operationalize these changes, ensuring that the flexibility of guarantees occurs without compromising the legal security of the operations.

Possibility of multiple guarantees on the same asset.

One of the main innovations of the Legal Framework for Guarantees is the permission for the same asset to be used to guarantee different credit operations, provided that the order of priority of creditors is respected.

Before the new legislation, once a property was given as collateral in a fiduciary assignment, it could not be reused for other guarantees without the original obligation being settled.

In everyday practice, this change expands the potential for financial leverage, allowing companies and individuals to use the same asset for multiple loans.

For lawyers, this innovation requires extra attention to the structuring of contracts, especially in defining clauses that ensure the correct prioritization of creditors and avoid disputes over the ownership of the guarantee.

The challenge, however, lies in implementing this mechanism without compromising the legal security of the parties involved.

There are criticisms regarding the risk of overlapping guarantees and difficulty in recovering credit, which could create new obstacles in case of default.

The dejudicialization of guarantee enforcement and the expansion of out-of-court restructuring.

The new law reinforces the possibility of extrajudicial enforcement of guarantees, allowing creditors to recover assets without the need for a judicial process.

The central idea is to reduce the time and costs involved in debt recovery, making the system more efficient.

However, this change is not without controversy. The strengthening of extrajudicial enforcement raises questions about debtor protection and the limits of creditor action.

Legal scholars have already warned of the risk of violating constitutional principles, such as due process and the right to a full defense, if extrajudicial enforcement is applied without rigorous criteria for protecting the debtor.

The creation of the guarantee agent and its impact on the structuring of financial operations.

The Legal Framework for Guarantees also introduced the figure of the guarantee agent, an intermediary responsible for managing and administering guarantees on behalf of creditors.

Here, the goal is to reduce conflicts between creditors in transactions involving multiple guarantees on the same asset, as well as to make the enforcement of these guarantees more efficient.

In the United States and Europe, similar models are already widely used, providing greater predictability to the financial market.

In Brazil, however, the effectiveness of this new agent will depend on the regulation and adaptation of financial institutions and lawyers working in the sector.

The lawyer's role will be essential in structuring these contracts, ensuring that the rules for managing the guarantees are clear, avoiding disputes between creditors, and guaranteeing that the parties have legal security in loan negotiations.

The expansion of mortgage lending and opportunities for lawyers, business owners, and accountants.

The Legal Framework for Guarantees has brought significant changes to real estate financing in Brazil, opening new possibilities for granting credit and reducing bureaucratic obstacles that for decades have limited access to financing.

With the easing of collateral requirements, the expectation is that more investors and consumers will have access to loans with more favorable conditions, boosting the real estate sector and expanding opportunities for professionals working in this market.

The main innovation in this context is the possibility of reusing real estate collateral, which allows the same property to be used for different credit operations without the need for additional registrations for each new transaction.

The main advantage is the reduction of notary fees, streamlining processes and facilitating fundraising for both companies and individuals.

For entrepreneurs and investors in the real estate sector, this means greater liquidity and greater financial predictability, essential factors for undertaking new projects and expanding businesses.

Accountants also come to play a strategic role in assessing the financial viability of these operations.

With the possibility of multiple guarantees on the same asset, rigorous accounting planning becomes essential, ensuring that companies and investors use this new financing model sustainably and without compromising asset management.

The importance of specialization for working in this new scenario.

The Legal Framework for Guarantees represents a break with the traditional model of credit granting in Brazil.

With the increased use of guarantees and the facilitation of extrajudicial enforcement, the role of the lawyer becomes even more relevant, both for the legal security of the transactions and for the protection of the rights of the parties involved.

In this context, the postgraduate program in Private and Business Law at IDP Online emerges as an essential opportunity for lawyers who wish to specialize in this new regulatory environment.

With the course "Contractual Default Crisis and Legal Framework for Guarantees ," students will have access to an in-depth study of the new rules and their implications, including:

  • Critical interpretation of Law No. 14.711/2023: Analysis of legal provisions and their legal consequences.
  • Extrajudicial enforcement and debtor protection: Limits and challenges of the new legislation.
  • Practical cases and case law: Application of the Legal Framework for Guarantees in the daily practice of law.

Specialization is not just a way to update professional skills, but an essential competitive advantage for lawyers who want to stand out in the market and excel in debt restructuring, financing, and credit operations in Brazil.

If you wish to deepen your studies and prepare for the challenges of practicing private law, this is the ideal opportunity. Register and stay ahead of the transformations in the sector.
