Within the market, the airline sector is one of the highest-risk areas, whether due to barriers to entry or high costs. It is common to see airlines being acquired or merged. Over the last few years, in Brazil alone, we have witnessed the creation and disappearance of several companies, such as Webjet, Avianca, Vasp, and Varig.

The Brazilian airline sector has undergone intense transformations in recent years, facing economic, competitive, and operational challenges. Among the most relevant developments, the possibility of a merger between GOL and Azul airlines has generated considerable debate among experts, consumers, and regulatory bodies.

If it goes through, this merger could significantly impact the aviation market in Brazil, altering the dynamics of competition and affecting prices, services, and connectivity between different regions of the country.

THE CONTEXT OF THE MERGER

GOL and Azul are two of the main airlines in Brazil, responsible for a significant portion of passenger transport in the country. GOL, founded in 2001, has established itself as a low-cost carrier, with a fleet predominantly composed of Boeing 737 aircraft.

Azul, created in 2008, focused on regional connectivity, using Embraer and ATR aircraft to serve destinations less explored by large airlines.

With the impact of the COVID-19 pandemic and the financial difficulties faced by the global airline sector, both companies underwent a restructuring process of their operations, starting with the renegotiation of debts and seeking new forms of sustainable growth. The possibility of a merger between them emerges as an alternative to increase competitiveness, optimize costs, and consolidate their market position in Brazil.

Impacts on Competition and Consumers

One of the main points of discussion regarding the merger between GOL and Azul is the impact on competition in the Brazilian airline sector. Currently, the market is dominated by three major players: LATAM, GOL, and Azul, with LATAM maintaining a leading position.

If the merger occurs, this new company could directly rival LATAM, creating a duopoly situation.

For consumers, this merger could generate both positive and negative effects. On the one hand, the unification of air networks could result in greater destination coverage, more operational efficiency, and better fleet utilization, which could lead to cost reductions and, eventually, more affordable tickets.

On the other hand, a reduction in the number of competitors can lead to price increases on certain routes, especially those that currently have little competition. Furthermore, with the existence of a duopoly, lobbying between companies and the government further strengthens the private sector, which then has practically a single voice.

Furthermore, the merger could impact passenger loyalty programs. Currently, GOL operates the Smiles program, while Azul has TudoAzul. Integrating these programs would require aligning benefits and rules to ensure that customers are not negatively impacted by the transition.

It is important to emphasize that the intended merger depends on the effective approval of the merger by the Administrative Council for Economic Defense (CADE), the body responsible for curbing anti-competitive practices, as well as by ANAC.

EFFECTS ON INFRASTRUCTURE AND AIR CONNECTIVITY

Brazil has a highly unequal air travel market, with a large concentration of flights in capital cities and major urban centers. Azul has stood out in regional aviation, connecting smaller cities and helping to develop routes that were previously not economically viable for large companies.

If the merger occurs, there is a risk that some of these routes will be discontinued if they are not considered profitable within the new corporate strategy.

To overcome this, it is important that ANAC (National Civil Aviation Agency of Brazil) maintains a decisive stance, should it approve the merger, aiming to preserve the existing air network, as well as requiring companies to operate less popular routes, seeking to guarantee consumers' right to access transportation.

On the other hand, the merger could allow for greater operational integration between the companies' hubs. Today, GOL has a strong presence at Congonhas Airport (São Paulo), while Azul dominates Viracopos Airport (Campinas). The union of these operations could generate efficiency gains, expanding connection options and improving the passenger experience.

REGULATORY AND LEGAL CHALLENGES

For a merger of this magnitude to be approved, it will require analysis and approval from regulatory bodies such as the Administrative Council for Economic Defense (CADE) and the National Civil Aviation Agency (ANAC). CADE will analyze the competitive impacts, ensuring that the merger does not create a monopoly environment detrimental to consumers. ANAC will assess operational issues, ensuring that the new company meets all safety and service provision requirements.

Furthermore, there are challenges in harmonizing internal operations. GOL and Azul use different aircraft models, distinct technological systems, and have their own organizational cultures. Integrating these aspects will require time and significant investments to ensure that the new company operates efficiently without harming passengers, as well as remaining economically viable, especially with regard to aircraft maintenance.

IMPACTS FOR EMPLOYEES AND SUPPLIERS

A merger of this magnitude will inevitably impact employees and suppliers. In the case of employees, there will be a need to reorganize teams, which may result in layoffs or reassignments. Standardizing operations may require training, new certifications, and adaptations to internal processes.

Aviation suppliers, such as maintenance, catering, and handling companies, may also be affected, depending on changes to contracts and the supply structure adopted by the new company.

However, if the merger leads to sustainable long-term growth, the expansion of operations could generate new job opportunities and investments in the sector – something both companies expect.

Future perspectives

If confirmed, the merger between GOL and Azul will be one of the most significant moves in the Brazilian airline sector in recent years. Its impacts will depend on how the new company is structured, how regulatory bodies conduct the process, and how the competition reacts to this development.

The trend is for the airline market to continue evolving, with new technologies, regulatory changes, and potential new companies entering the sector. Passengers expect improved services and more competitive fares, but there is also concern about the risk of less competition and possible price increases on certain routes.

In an ideal scenario, this merger could strengthen the national air market, making operations more efficient, expanding regional connectivity, and increasing Brazil's competitiveness in the international aviation sector. However, realizing these benefits will depend on a number of factors, including adequate regulation and a well-planned strategic execution by the companies involved.
