The Federal Government's New Measure to Promote Integrity in the Private Sector

Combating corruption and promoting integrity in the private sector have become increasingly central to Brazilian politics. In this context, the federal government, through the Comptroller General of the Union (CGU), launched the Brazil Pact for Business Integrity in March 2024, a measure aimed at encouraging companies to adopt integrity and compliance practices, strengthening the business environment in the country and promoting a more ethical and transparent relationship between the public and private sectors.

In this article, we will explore the CGU's main initiatives to promote integrity in the private sector, what the Brazil Pact is, how companies can join it, and the benefits this initiative brings to the private sector and public administration. Finally, we will discuss the future prospects of this measure and the expected impact on the business environment in Brazil.

CGU Measures to Promote Private Integrity

The Comptroller General of the Union (CGU) is the main body responsible for promoting integrity and transparency in Brazil, both in the public and private sectors. In the area of corporate integrity, the CGU has implemented several initiatives to encourage companies to adopt good compliance and social responsibility practices.

Among the most prominent initiatives for promoting private integrity is the Pro-Ethics Company program, launched in 2010 in partnership with the Ethos Institute, which recognizes companies that voluntarily adopt practices aimed at preventing corruption and promoting integrity in their operations. The program's objective is to promote a culture of ethics and transparency in organizations, highlighting those that strive to follow these guidelines, even if there is no immediate legal requirement.

The Pro-Ethics Company Award is an important milestone in promoting business integrity in Brazil, functioning as a kind of quality seal. To qualify for recognition, companies must undergo a rigorous evaluation process, in which their internal compliance policies, commitment to integrity, and corporate governance practices are verified.

Companies participating in the program gain positive visibility in the market, in addition to contributing to the construction of a healthier business environment less susceptible to corruption. The Pro-Ethics program also serves as an incentive for more companies to adopt structured integrity programs, strengthening trust in commercial and institutional relationships, since being awarded the Pro-Ethics Seal has the potential to offer significant reputational benefits.

The Brazil Pact: what it is and how to join.

Similar to the Pro-Ethics Company initiative, the Brazil Pact is a more recent CGU (Brazilian Comptroller General's Office) initiative that aims to promote integrity in the private sector through voluntary commitments undertaken by companies. Launched in 2023, the pact seeks to strengthen ethics in business relations, especially those involving the public sector. It functions as a formal agreement whereby companies commit to adopting concrete integrity measures, following guidelines established by the CGU to promote a more ethical organizational culture.

What is the Brazil Pact?

The Brazil Pact is structured around a set of corporate governance principles and best compliance practices that signatory companies must follow. These principles include creating effective whistleblowing channels, developing internal policies to combat corruption, promoting transparency in their operations, and encouraging the adoption of sustainable and socially responsible practices.

The pact also seeks to align companies with international standards for combating corruption and promoting integrity, such as the guidelines of the Organisation for Economic Co-operation and Development (OECD) and the recommendations of the United Nations Convention against Corruption.

How to join the Brazil Pact?

Participation in the Brazil Pact is voluntary, but to become a signatory company, the organization must formally express its interest by signing the adhesion agreement and undergo a self-assessment process in which it can analyze the integrity measures adopted and what can still be developed, as described in the Pact's regulations.

Through this process, the company itself publicly assumes its commitment to promoting a more ethical business environment and, furthermore, conducts a self-reflection on its integrity policies, its commitment to ethical practices, and its history regarding governance issues.

Once approved, the company becomes a signatory of the Brazil Pact, committing to implement and maintain a robust and effective compliance program.

Following the signing of the Pact, there will also be monitoring of its adherence and of the signatory companies. One of the instruments created by the CGU (Brazilian Federal Comptroller General) to do this is the creation of an online panel, open to the public, where it will be possible to consult the list of adhering companies, the responses given by the companies in the self-assessment report, and the profile of the adhering companies. In this way, not only can the public administration monitor the signatory companies, but also the general public.

Furthermore, adherence to the Brazil Pact is expected to be adopted as one of the evaluation requirements for the Pro-Ethics Company program. Therefore, if a company wishes to be awarded the Pro-Ethics Seal, it must adhere to this measure, which is yet another incentive for companies. Both measures were highlighted at the Ethos 360º Conference, held in September 2024.

Advantages of the Brazil Pact: benefits for businesses and public administration.

Joining the Brazil Pact brings a number of benefits to both businesses and public administration. Below, we will explore how this initiative positively impacts both sides.

Benefits for companies:

  1. Improved reputation: Being a signatory of the Brazil Pact indicates that the company is committed to ethics and transparency. This improves the company's image in the market, building trust among clients, investors, and business partners.
  2. Access to public contracts: Companies that maintain good compliance and integrity practices may have advantages in public bidding processes. Public administration is increasingly demanding compliance from contracted companies, and adherence to the pact can be a competitive differentiator; an example of this is the new provisions introduced by Law No. 14.133/21 (New Law on Bidding and Contracts).
  3. Reducing legal risks: Implementing robust compliance programs helps companies avoid involvement in corruption scandals, reducing the risk of legal sanctions and damage to their image.
  4. Improved work environment: Commitment to integrity improves the organizational climate, promoting a culture of transparency and accountability. This can result in increased productivity and talent retention.

Benefits for Public Administration

  1. Transparency in relations with the private sector: The Brazil Pact can contribute to making relations between the public and private sectors more transparent, minimizing opportunities for corruption and illicit practices in contracts and partnerships.
  2. Promoting ethics in bidding processes: Fostering integrity in the private sector facilitates fairer and more transparent bidding processes, with a lower risk of fraud and manipulation.
  3. Efficiency in the use of public resources: By combating corruption and ensuring that companies act ethically, public administration can allocate resources more efficiently, avoiding waste and misappropriation.

Future perspectives on the Brazil Pact

The Brazil Pact represents another step forward in policies promoting integrity and transparency in Brazil. The expectation is that, in the coming years, a growing number of companies will adopt the initiative, contributing to a more ethical and sustainable business environment.

With the evolution of corporate governance standards and the growing demand for ethical practices, adherence to the Brazil Pact is expected to expand. The CGU, along with other governmental and private sector institutions, will continue to promote the pact as a fundamental measure for companies seeking to operate in compliance with anti-corruption and transparency laws.

Furthermore, there is an expectation that the federal government will expand incentives for signatory companies, including tax benefits and preferential treatment in public tenders, which could attract more organizations to join the Brazil Pact.

In the long term, the Brazil Pact could help transform the business environment in the country, encouraging a culture of integrity and social responsibility among companies in all sectors. This could also strengthen the confidence of international investors, who often seek markets with high governance standards and low tolerance for corruption.

The expectation is that, with the expansion of the Brazil Pact, relations between the public and private sectors will become more transparent and efficient, resulting in a stronger public administration and a more competitive and ethical private sector.
