Will the Promise of Tax Reform Be Fulfilled?
There is no doubt that tax reform has been one of the most discussed topics in Brazil in recent years, due to its promise to simplify the national tax system and promote greater efficiency in tax collection.
From an early age, we learn that Brazil has a history of complexity and bureaucracy when it comes to taxation. The current model generates high costs, both for companies and citizens, in addition to harming the country's economic competitiveness.
With 324 votes in favor and 123 against, the regulation of the tax reform was approved in the Chamber of Deputies in December 2024. This event marks a significant advance in the process of "fiscal modernization".
The vote brought to light important changes to the tax system, such as the definition of rates for the new taxes and adjustments that seek to balance the demands of different economic sectors and regions of the country.
At the same time, the changes introduced raise new challenges, especially with regard to implementation and the transition to the new system.
In this text, I want to explore with you the main points of the approved regulation, its impacts, and how these changes create opportunities for professionals in the field.
December 2024: Approval in the Chamber of Deputies
The approval of the Tax Reform regulations by the Chamber of Deputies in December 2024 represents an important milestone in the transformation of the Brazilian tax system.
Complementary Bill 68/2024, which establishes the basis for the operation of the new model, was the subject of intense debate among parliamentarians, the government, and representatives of civil society.
Among the main highlights of the approved text is the definition of a general tax rate for the taxes that will replace the current system of PIS, Cofins, IPI, ICMS and ISS.
Furthermore, the single-phase tax regime for ethanol and tax incentives for the Manaus Free Trade Zone were maintained.
The proceedings in the Chamber of Deputies were also marked by the rejection of some amendments proposed by the Senate. These included reductions in tax rates for sanitation services and changes to the selective tax on sugary drinks.
Now, the next step will be presidential approval, which will mark the beginning of the gradual implementation of the new rules.
The expectation is that the reform will come into effect in 2027, allowing for an adaptation period for businesses and citizens.
What are the expected impacts on the Brazilian Tax System with the Tax Reform?
Studies on the regulation of the Tax Reform show that the main objective was to create a fairer and more efficient environment.
In other words, the aim was to reduce the complexity that characterizes the current model and correct historical distortions that penalize certain sectors and regions.
For this reason, it is believed that one of the most significant impacts will be the replacement of federal, state, and municipal taxes, such as PIS, Cofins, IPI, ICMS, and ISS, with two new taxes: the Tax on Goods and Services (IBS) and the Contribution on Goods and Services (CBS).
This is because the problem with the current model is the cascading effect of taxes, in which taxes are levied on other taxes along the production chain, raising the final cost of products and services.
At the end of the day, it's the consumer who ends up being penalized.
Furthermore, it should be considered that this situation reduces the competitiveness of Brazilian companies in both the domestic and international markets.
Therefore, with the adoption of IBS and CBS, it is expected that this effect will be eliminated.

The Role of Tax Law Professionals in the Transition
There is no doubt that the success of this reform will depend on its implementation and the adaptation of companies and taxpayers.
This is because the transition will require investments in technology, training, and process restructuring, as well as strong coordination between the different levels of government.
That is why professionals specializing in Tax Law will play a key role in adapting to the changes brought about by the tax reform.
Tax specialists will be responsible for ensuring companies' tax compliance, mitigating tax risks, and identifying opportunities to optimize the tax burden within the new system.
By downloading our course guide, you will see that IDP's postgraduate program in Tax Law offers an updated curriculum focused on the practical demands of the market, enabling students to face the challenges brought about by the reform.
The mission of this specialization is to combine an in-depth analysis of legislative changes with practical case studies, enabling professionals to address issues such as tax planning, adaptation to the new tax collection regime, and resolution of tax disputes.
What are the main impacts on the consumer market?
The final text maintained the tax exemption for basic products such as meat, fish, cheese, and salt.
Furthermore, basic food items such as rice, beans, milk, and butter will have a zero tax rate, including new products such as infant formula and French bread.
In agribusiness, agricultural products and inputs, such as fertilizers and animal feed, will have a 60% reduction in taxes.
And there will also be tax cashback ! This is a measure aimed at benefiting low-income families and promoting greater tax equity. The refund will be given to the head of households registered in the Unified Registry for Social Programs (CadÚnico), whose monthly income per person does not exceed half the minimum wage.
To receive the " tax cashback " benefit, the head of the family must reside in Brazil and have an active CPF (Brazilian taxpayer identification number). The mechanism will consider purchases made by all family members using the CPF, and the amount returned will be based on the taxes levied on the goods and services consumed.
How will the business sector adapt to the tax reform?
First, we must take into account that standardizing tax rates will put an end to the "tax asylum."
In fact, this unification of tax rates will be an important step towards eliminating the complexity of the current system, where there are different rules and rates, and these vary from state to state and from municipality to municipality.
Obviously, the big controversy is that sectors that have traditionally benefited from preferential treatment regimes, such as services and technology, may face an increased tax burden.
Furthermore, this standardization will have an impact on small and medium-sized enterprises, which have a reduced margin to absorb tax increases.
Therefore, the transition to the new system will require training.
Companies will have to carefully review their tax and administrative structures, which includes adopting integrated systems and training teams to handle the changes.
In the short term, these costs will be high, but they are essential to ensure business continuity and competitiveness.
Tax lawyers, accountants, and tax consultants will be key players in guiding companies through the transition and identifying opportunities in the new tax model.
