Cryptocurrencies have emerged as a disruptive innovation in the global financial landscape, introducing new forms of transactions and investments. Understanding the different types of cryptocurrencies, their practical applications, and the associated legal implications is essential for legal professionals and those interested in participating in this market.

Therefore, having an understanding of the main related concepts, as well as the different types of virtual assets (better known as crypto assets), proves to be a differentiating factor and essential knowledge to prepare for the new evolutions of the digital world.

What are crypto assets and why is understanding their regulation essential?

Cryptoassets are digital representations of values or rights that can be transferred and stored electronically, using blockchain technology to ensure security and transparency. According to the Legal Framework for Cryptoassets (Law No. 14.478), virtual assets are "the digital representation of value that can be traded or transferred electronically and used for making payments or for investment purposes."

They can be classified into several categories, including cryptocurrencies, stablecoins, tokens (utility, security, among others) and non-fungible tokens (NFTs), which will be explained below.

Concept and Classification of Cryptoassets

Crypto Signals Room

Cryptocurrencies are digital currencies that use cryptography to secure transactions and control the creation of new units. They operate in a decentralized manner, without the need for a central authority, allowing direct transactions between users. The main applications of cryptocurrencies include:

Used as a means of payment : Cryptocurrencies are used to purchase goods and services.

Considered a form of store of value : Some investors use crypto assets to protect their wealth against inflation.

Used as a speculative investment : Due to their volatility, crypto assets are employed in trading operations focused on profit.

From a legal standpoint, cryptocurrencies are the subject of numerous discussions, with the main legal issues raised relating to the lack of specific regulations, which can create legal uncertainty in transactions, especially in cases of default or fraud, and how civil law rules related to obligations would apply.

Furthermore, there is also much discussion regarding issues related to tax law and its subjection to taxation on capital gains, as well as the challenges in integrating cryptocurrencies into the traditional financial system.

Stablecoins

Stablecoins are crypto assets designed to maintain a stable value, usually pegged to a fiat currency or a real asset, such as the dollar or gold. Their main applications include use as a means of payment, as they offer a less volatile alternative for daily transactions and international remittances, since they facilitate money transfers with lower costs and greater speed.

Stablecoins present specific regulatory challenges, such as their equivalence to foreign exchange activities. Furthermore, recent research has revealed that stablecoins are the most commonly used virtual assets in cryptocurrency flows related to illicit activities.

Tokens

Tokens are units of value issued by blockchain projects, representing various assets or utilities. Within this universe, there are several types of tokens used for different purposes, such as:

  • Utility Tokens: These tokens offer access to products or services within a specific platform. They are used to access specific functionalities and represent a right to certain accesses, such as the Fan Tokens issued by some football teams.
  • Security Tokens: These represent stakes in real assets, such as company shares, and are subject to securities regulations. They allow for the tokenization of traditional assets, thus facilitating trading/transfer and liquidity.
  • Payment Tokens: These function as a medium of exchange, similar to cryptocurrencies, both within and outside the blockchain ecosystem.

From a legal standpoint, each type of token faces distinct legal challenges, such as the possibility of being considered adhesion contracts, requiring compliance with the Consumer Protection Code (Utility Tokens), and the obligation to comply with securities regulations, including registration and disclosure of information (Security Tokens).

Non-Fungible Tokens (NFTs)

NFTs are unique tokens that represent ownership of specific digital or physical assets, such as works of art, game items, and collectibles. Their very name explains that they are unique precisely because they are non-fungible, meaning they are invisible and irreplaceable.

In practice, they represent unique items or even real-world assets, and their advantage lies in facilitating transactions and investment and trading processes.

NFTs introduce new legal issues, such as discussions related to copyright and disputes over the use and reproduction of these assets, and even contractual law related to the terms of purchase and sale of NFTs and the obligations arising therefrom.

Smart Contracts

Although not the focus of this article, to understand crypto assets and, especially, their transfer and trading process in the blockchain environment, it is relevant to explore the concept of Smart Contracts.

Smart contracts are computer programs that automatically execute the terms of a contract when certain pre-established conditions are met, being "digital computational protocols that have the same purposes as traditional contractual instruments".

Using blockchain technology, these contracts guarantee transparency, immutability, and automatic execution, eliminating the need for intermediaries. The main applications of smart contracts include process automation with the automatic execution of agreements when contractual conditions are met, and the operation of DeFi platforms, enabling lending, staking, and other financial operations without traditional intermediaries.

Smart contracts present both challenges and opportunities in the legal field:

  • Contract LawThe validity and enforcement of smart contracts can be questioned if they do not comply with local laws. The absence of clear legal language and the difficulty of interpretation can lead to disputes.
  • Direito das ObrigaçõesAutomatic execution may not take into account unforeseen events or force majeure clauses, raising questions about flexibility and fairness in contract enforcement.
  • General Liability InsuranceIn the event of failures or bugs in the smart contract code, assigning responsibility can be complex, especially when there is no clearly identifiable party responsible.

Conclusion

The diversity of crypto-assets and their practical applications offer significant opportunities for innovation and efficiency across various sectors. However, this technological evolution presents legal challenges that demand attention and adaptation from legal professionals. It is essential that lawyers, legislators, and regulators deeply understand the characteristics and functionalities of each type of crypto-asset in order to develop legal frameworks that promote innovation, ensure investor protection, and guarantee market integrity.

In Brazil, the recent enactment of Law No. 14.478/2022 , which regulates the crypto-asset sector, represents a significant step forward in the pursuit of legal certainty and transparency in this growing market. This legislation establishes guidelines for the provision of virtual asset services and assigns the Central Bank the responsibility of supervising and regulating the sector, aiming to curb crimes such as fraud and money laundering.

As the cryptocurrency market evolves, it is crucial that the legal framework keeps pace with these changes, ensuring a safe and conducive environment for technological innovation and economic development.
